Art’s ACT (hereafter referred to as ACT) proposes to render the following support and services in connection with ABC Company’s use of business information technologies.

Our support and services will consist of configuration, consultation, installation, network administration, and upgrade(s) management all as set forth in Exhibit A, which is attached to this letter, and such additional services as you may request.

You will pay us a for these services:
-an initial Program Fee of from $500 to $6,500 plus prepayments for all Additional Hours above from 6 to 96. You are authorized to purchase from 4 to 24 Additional Hours for from $320 to $1,520. You may also be eligible to receive our 25% Member Benefit wherein you will receive an from 1 to 6 Additional Hour(s) with each purchase of Prepaid Additional Hours . It is recommended that you purchase additional hours whenever you have less than 25% of the Initial Prepaid Hours remaining. In the event that prepaid additional hours are not maintained, you may experience a disruption to the timely delivery of Partner Program Benefits, and we may require the payment of an additional initial program fee to restart program benefits.

Non-customary services, and Reimbursable Expenses shall be billed as the actual expenses incurred directly or indirectly in connection with the execution of this agreement times a factor of 1.175. These services and Reimbursable Expenses are due, net 10. All other invoices are due on receipt. The performance of this agreement is on the basis of prompt payment of our bills.

This proposal and, Exhibit A entitled FURTHER DESCRIPTION OF BASIC SUPPORT SERVICES AND RELATED MATTERS, which is attached consisting of 2 pages represents the entire understanding between you and us in respect of this agreement and may only be modified in writing signed by both of us. If this satisfactorily sets forth you understanding of the arrangement between us, we would appreciate your signing the enclosed copy of this letter in the space provided below and returning it to us.
